The deal, in writing.

This Creator Agreement ("this agreement") is between Guufs, which runs Lavoo ("Lavoo", "we", "us"), and the person or business named when you accept it ("you", "the partner").

It applies to everyone we accept into the Lavoo Creator Programme: creators of any audience size and UGC creators. Sales partners who sell Lavoo directly have a separate agreement.

This agreement adds to our Terms and Conditions and Privacy Policy. If they conflict, this agreement applies to your partnership. The Builder Rewards Terms do not apply to you while this agreement is in force, and you cannot earn under both for the same member.

Your partnership starts on the date we confirm your acceptance in writing ("your start date").

• First period. This agreement runs for 6 months from your start date.
• Review. In the last 30 days of the first period, we review your results, the quality of the members you brought in and how you followed this agreement.
• Extension. If we offer it, your agreement is extended for another 6 months on the same terms. We confirm any extension in writing before the first period ends.
• After 12 months. We may offer our best partners a new contract with new terms. Nothing in this agreement promises an extension or a new contract.
• If there is no extension, this agreement ends at the end of the period. You still earn from your members as described in section 3.

• Your rate. You earn a commission of 50% of the net revenue Lavoo receives from each member you bring in.
• Net revenue is what Lavoo receives after VAT and other sales taxes, payment processing fees, currency conversion costs and any discount. Naira payments are processed by Flutterwave and dollar and pound payments by Stripe; their fees are payment processing fees.
• Whatever price they pay. Members are charged in their local currency: naira in Nigeria, pounds in the UK and US dollars everywhere else. Members who buy before 31 January 2027 may pay founding prices, and members who buy later pay regular prices. Either way, you earn 50% of the net revenue Lavoo actually receives from them.
• Each member's 6 months. You earn on every payment a member makes in the 6 months starting from their first cleared payment. Quarterly and yearly payments made in that window count in full, including a yearly plan a member buys in that window that starts when their current plan ends.
• Members you bring in while this agreement is in force keep earning you commission for their full 6 months, even if this agreement ends first. This does not apply if we end the agreement because of a serious breach (section 12).
• Paid plans only. You earn on Pro and Premium payments. You do not earn on free Starter accounts, including their free check-up and their 3 days of Premium access.
• No commission on yourself. You cannot earn from your own account, or from accounts belonging to you, your business or anyone in your household.

• We give you a Premium account free for 6 months from your start date. If we extend your agreement, we may extend your free Premium too.
• It is for you only. You cannot sell, share or transfer it.
• When it ends, your account moves to Starter unless you choose a paid plan. Your data stays in your account.
• Free Premium is not payment for your work and has no cash value.

• We give you a personal link and code. A member counts as yours if they sign up through your link, or enter your code when they sign up, and make their first payment within 30 days. 
• If someone used more than one partner's link, the last valid link or code before they signed up counts.
• A member counts once, and only if they are a new Lavoo customer who has never had a paid account.
• Our tracking records decide who brought a member in. You can see your members and commission in your partner dashboard. If you think something is missing, tell us within 30 days and we will check.

• Weekly, with no minimum. We pay cleared commission every Friday, whatever the amount.
• When a payment clears. Commission is ready to be paid once the member's payment has cleared:
  • bank transfer or USSD payments in Nigeria: from the next weekly payout;
  • card payments made in Nigeria and confirmed with a one-time code: after 7 days;
  • all other payments: after 14 days for monthly plans, and after 30 days for quarterly or yearly plans.
• Where it goes. We pay to the bank or payout account in your partner settings. It must be in your name, or in the name of your registered business. Nigerian accounts are paid in naira.
• Transfer fees charged by banks or payout providers may be deducted from your payout where needed.
• Checks. Before your first payout, we will verify your identity and payout details. We may pause a payout to check unusual activity. We aim to finish any review within 10 business days.

If a member's payment is refunded, charged back, reversed or found to be fraudulent, the commission linked to it is cancelled. If we have already paid it, we deduct it from your future commission. If that is not possible, we may ask you to repay it within 30 days.

When you promote Lavoo, you must:

• Disclose clearly, every time, that you earn from Lavoo, for example "#ad" or "I earn a commission if you join". Put it where people see it before they click. This is required by the UK Advertising Standards Authority, the US Federal Trade Commission and Nigeria's Advertising Regulatory Council (ARCON).
• Describe Lavoo honestly. Say what it does. Do not invent features, results, prices or discounts.
• Make no income claims. Do not tell anyone they will make money, grow their business by a set amount or get rich by using Lavoo or joining this programme.
• Not recruit for recruiting's sake. Do not present Lavoo as an investment, a "join and earn" scheme or a way to earn by signing up others.
• Not spam. Do not send bulk unsolicited messages by email, SMS, WhatsApp or direct message.
• Not offer your own incentives, such as cashback or paying people to sign up, without our written permission.
• Keep it clean. Do not place Lavoo next to content that is hateful, adult, violent or illegal, or use it with misleading or fake engagement.

• You own your content. Posts, videos and other content you make about Lavoo stay yours.
• Sharing on our channels. You let us repost or share your Lavoo content on Lavoo's own social media, website and emails, with credit to you, during this agreement and for 12 months after it ends.
• Paid advertising. We will not use your content, name or face in paid ads unless we agree this with you separately in writing. That may include a separate fee.
• Your content must be yours. Do not use music, footage or images you do not have the right to use.
• Corrections. If your content contains a mistake about Lavoo, or is missing a disclosure, we may ask you to fix or remove it. You agree to do this within 48 hours.

• We let you use the Lavoo name and logo only to promote Lavoo under this agreement, and only in the forms we give you.
• Do not create websites, pages, handles or ads that look like Lavoo's own, or suggest you speak for Lavoo.
• Do not bid on "Lavoo" or our brand names in paid search ads.
• This permission ends when this agreement ends. You do not need to delete old posts unless we ask.

You are an independent partner. This agreement does not make you an employee, agent or representative of Lavoo, and you cannot make promises or sign agreements for us.

Commission may count as taxable income where you live. You are responsible for reporting it and paying any tax due. We may ask for tax information, give you records of what we have paid and withhold tax where the law requires.

Anything you learn about Lavoo that we tell you is private, such as unreleased features, plans or numbers, stays confidential, during this agreement and after it ends.

• Either of us can end this agreement at any time by giving 14 days' notice by email.
• We can end it straight away if you seriously break it, for example through fake accounts, self-referrals, stolen payment details, missing disclosures after a warning, income claims or misleading promotion.
• When it ends normally, you keep earning from members you brought in for the rest of their 6 months, and we pay that commission weekly as usual.
• When we end it for a serious breach, we may cancel any unpaid commission linked to the breach and recover commission already paid for it. A person always reviews a case before we do this. If you disagree, email us within 30 days and we will look at it again.

• Liability. Except where the law does not allow us to limit it, our total liability to you under this agreement is limited to the commission paid or due to you in the 6 months before the claim. Neither of us is liable for indirect losses.
• Your responsibility. You are responsible for your own content and promotion, and for any claims that come from you breaking this agreement or the law.
• Privacy. Do not collect personal details from people on Lavoo's behalf. People sign up directly with Lavoo. We handle members' data under our Privacy Policy, and we handle yours to run this programme and pay you.
• Changes. We will not change your rate or your contract period during a period that has already started, unless you agree in writing. We may update other parts of this agreement with 30 days' notice.
• Law. This agreement is governed by the laws of England and Wales. Any dispute goes to the courts there, but we will always try to settle it with you directly first.
